Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) are a binding agreement between you and AUM Innovations Inc., operator of Omnira (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

These Terms apply to all users, including creators, teams, and developers accessing the Service through the API.

2. Eligibility and your account

You must be at least 13 years old to use the Service, and at least 18 (or the age of majority in your jurisdiction) to purchase credits or subscriptions. You represent that the information you provide is accurate and that you have the authority to enter into these Terms.

You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under them. Notify us immediately at support@omnira.art of any unauthorized use.

3. Credits, billing, and refunds

Generations consume credits based on factors such as model tier, resolution, length, and priority. The estimated cost is shown before each generation, and credits are deducted when a generation completes.

Payments are processed by our third-party payment processor. Subscription fees are billed in advance. Credit purchases and subscription fees are non-refundable except where required by law. Credit packs are valid for the period stated at purchase.

We may change pricing or credit costs with reasonable notice. Continued use after a change takes effect constitutes acceptance.

4. Acceptable use

You may not use the Service to create, publish, or distribute content that is illegal, infringing, deceptive, or harmful; that depicts non-consensual, sexual, or abusive material involving real people, including public figures and minors; that harasses, threatens, defames, or discriminates; or that impersonates others or misrepresents your affiliation.

You may not attempt to gain unauthorized access to the Service, interfere with its operation, scrape it, or circumvent usage limits, security, or billing controls.

Violation of this section may result in immediate suspension or termination and, where appropriate, referral to legal authorities.

5. Your content and license

You retain ownership of the inputs you provide and, to the extent permitted by law and by the underlying AI model providers, of the outputs you generate. You are solely responsible for your inputs and for how you use the outputs.

You grant Omnira a limited, worldwide, royalty-free license to host, process, store, and transmit your content solely to operate, secure, and improve the Service and to publish content to the platforms you connect at your direction.

You represent that you hold all rights necessary to submit your content and that it does not infringe any third party’s intellectual property, privacy, or other rights.

6. AI-generated content

Outputs are generated by automated models and may be inaccurate, may resemble other works, and are not guaranteed to be unique or fit for any particular purpose. You are responsible for reviewing outputs and ensuring your use complies with applicable laws and third-party rights before publishing or distributing them.

7. Connected social accounts

When you connect a social account such as Instagram, you authorize Omnira to publish content on your behalf only when you choose to post or schedule it. You are responsible for complying with the terms and policies of each connected platform, and you may disconnect any account at any time.

8. Intellectual property

The Service, including its software, design, and branding, is owned by AUM Innovations Inc. and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or trade dress without prior written consent.

9. Third-party services

The Service integrates third-party services (such as authentication, payment, storage, AI model, and social-platform providers). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

10. Service availability

We strive for high availability but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue features at any time, with reasonable notice where practicable.

11. Termination

We may suspend or terminate your access at our discretion, including for breach of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, indemnity, and limitations of liability — will survive.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that outputs will meet your requirements.

13. Limitation of liability

To the maximum extent permitted by law, AUM Innovations Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless AUM Innovations Inc. and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless otherwise required by applicable law.

16. Changes to these terms

We may modify these Terms from time to time. If a change is material, we will provide notice through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
